These Terms & Conditions ("Terms") govern your access to and use of the sellers.directory website and services (the "Service"), operated by Allegiance Consulting LLC ("we," "us," or "our"), a California limited liability company. Please read these Terms carefully before using our Service.

By accessing or using sellers.directory, creating an account, or purchasing any data product from us, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include both you personally and that entity.

2. Description of Services

sellers.directory provides a searchable database of Amazon seller information to help wholesalers, distributors, and trading companies identify and contact potential business partners. Our Service includes:

• Access to a database of Amazon seller profiles, contact information, and business details
• Search and filtering tools to locate sellers by category, marketplace, or rating
• Purchase and download of individual leads or curated lead lists
• Email validation status for contact information where available

3. Data Sources & Accuracy

We make no guarantees, representations, or warranties about the accuracy, completeness, currentness, or reliability of any seller contact information or other data in our database, including but not limited to:

• Email addresses — these may be outdated, undeliverable, or incorrect
• Business names, addresses, or phone numbers
• Seller ratings, review counts, or product listings
• Whether a seller is currently active or has ceased operations

You acknowledge and agree that you use all data obtained through the Service at your own risk. We encourage you to independently verify contact information before relying on it for business decisions.

4. Permitted Use

Subject to your compliance with these Terms, you may use the data obtained through sellers.directory for lawful business outreach purposes, including:

• Contacting Amazon sellers to inquire about wholesale, distribution, or sourcing partnerships
• Research and market analysis for business development purposes
• Building targeted prospecting lists for legitimate B2B sales outreach

All use of seller contact information must comply with applicable law, including CAN-SPAM, GDPR (where applicable), CASL (where applicable), and any other anti-spam, data protection, or privacy laws in your jurisdiction.

5. Prohibited Use

You agree that you will NOT use the Service or any data obtained from it to:

• Send unsolicited commercial messages (spam) in violation of CAN-SPAM, GDPR, CASL, or any other applicable law
• Harass, threaten, intimidate, or engage in any abusive conduct toward any seller or individual
• Engage in any illegal activity, including fraud, identity theft, or phishing
• Scrape, harvest, or systematically download data from our platform beyond what is permitted by your subscription
• Resell, sublicense, redistribute, or share data obtained from our Service with third parties without our express written consent
• Use the data to target individuals for personal (non-business) solicitation
• Violate any third party's privacy rights or applicable data protection laws
• Reverse-engineer, decompile, or attempt to extract our proprietary database structure or algorithms
• Use automated bots, scripts, or other tools to access the Service in a manner that exceeds normal usage

Violation of these prohibitions may result in immediate termination of your account, forfeiture of any unused credits, and potential legal action.

6. Data Removal Requests

Removal from our database means your information will no longer appear in new searches or be included in future data downloads. Please note that we cannot control the use of data that was already delivered to subscribers prior to the date of your removal request.

7. Payments & Refund Policy

All purchases are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms of service and privacy policy in addition to these Terms.

If you experience a technical issue that prevents you from accessing data you have paid for, please contact hello@sellers.directory and we will work to resolve the issue promptly.

Prices are subject to change without notice. Any price changes will not affect purchases already completed.

8. Intellectual Property

The compiled database of seller information available through sellers.directory — including its structure, organization, categorization, validation status, and associated metadata — is the proprietary intellectual property of Allegiance Consulting LLC and is protected by applicable copyright, database, and trade secret laws.

While individual facts about Amazon sellers may be publicly available, our selection, arrangement, validation, and compilation of that data into a structured, searchable database constitutes original expression protected as a collective work.

You are granted a limited, non-exclusive, non-transferable license to use data you have purchased solely for the permitted purposes described in Section 4. This license does not include the right to reproduce, distribute, modify, or create derivative works from the data beyond individual business use.

All other intellectual property on sellers.directory — including our logo, website design, software, and content — is owned by Allegiance Consulting LLC and may not be copied or used without written permission.

9. Disclaimers

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALLEGIANCE CONSULTING LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy, completeness, or currentness of any data
• Any warranty that the Service will meet your business requirements or produce any particular outcome

We are not affiliated with, endorsed by, or in any way connected to Amazon.com, Inc. or any of its subsidiaries. Amazon seller data is sourced from public pages; we have no special relationship with Amazon.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALLEGIANCE CONSULTING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business, or goodwill
• Damages arising from your use of, or inability to use, the Service or any data obtained from it
• Damages arising from unauthorized access to or alteration of your account or data
• Any claims arising from your communications with Amazon sellers

In no event shall our total liability to you for all claims arising from or relating to these Terms or the Service exceed the greater of (a) the amount you paid us in the 90 days preceding the claim or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Allegiance Consulting LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service or any data obtained from it
• Your violation of these Terms
• Your violation of any applicable law, including anti-spam or data protection laws
• Your communications with Amazon sellers or any third party
• Any claim by a third party that your use of the Service caused them harm

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Orange County, California. You consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to first contact us at hello@sellers.directory and provide a written description of the dispute. We will attempt to resolve the issue informally within 30 days.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

We encourage you to review these Terms periodically. For significant changes, we may also provide notice via email to registered users.
